Blackstone Resources AG receives an extension to the filing date for the 2021 audited annual report.

Ad hoc announcement pursuant to Art. 53LR

BAAR, Switzerland 25/04/2022 Blackstone Resources AG (SWX; ticker BLS, ISIN CH0460027110) today obtained an extension from SIX Exchange Regulation AG to file its 2021 annual consolidated financial statements.

As previously reported, former auditors Moore Stephens Expert (Zurich) AG prematurely terminated their mandate for Blackstone Resources AG in a letter dated 18.3.22. The 2021 consolidated financial statements can only be published after receipt of an audit opinion. Blackstone Resources AG is therefore already in final discussions with various audit firms and hopes to announce a new mandate soon.

On March 23, 2022, Blackstone Resources AG applied to SIX Exchange Regulation AG for permission to file the 2021 Annual Report until July 31, 2022 as part of the deadline extension.

Accordingly, SIX Exchange Regulation AG has today granted the following temporary authorisation:

The exemption from maintenance obligations and thus the postponement of the publication of the annual report 2021 as well as the submission of this report to SIX Exchange Regulation NV until Sunday July 31, 2022 at the latest are approved subject to the following reservation (lit. a ) and conditions (lit. b):

a. SIX Exchange Regulation SA reserves the right to temporarily suspend trading in Blackstone securities if it fails to publish and deliver its 2021 annual report to SIX Exchange Regulation SA by 11:59 p.m. on Sunday July 31, 2022 in accordance with the provisions relating to event-driven advertising (Art. 53 Listing Rules in conjunction with the Directive on event-driven advertising.

b. Blackstone must issue a press release regarding this decision no later than Tuesday, April 26, 2022 at 7:30 a.m., in accordance with the provisions relating to event advertising (Art. 53 Listing Rules in conjunction with the Event Advertising Directive). This press release must:

  • contain the full text of Section I of this decision in a prominent location;

  • mention the reasons for postponing the publication and submission of the 2021 annual report;

  • show unaudited key figures such as net sales, EBITDA, EBIT, net income, total assets, shareholders’ equity, etc. in relation to the 2021 financial results.
